1. Agreement to Terms
1.1 Acceptance
These Terms and Conditions ("Terms," "Terms of Service," or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and MARKETRONIX LTD ("Ratify," "we," "us," or "our"), a company registered in England and Wales under company number 17331464 with registered office at Dept 6916, 196 High Road, Wood Green, London, N22 8HH, United Kingdom, regarding your use of the website at ratify.studio and Ratify's build-on-demand service, in which an AI estimate prices the work and our engineers build it (the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1.2 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
The Service is not available in comprehensively sanctioned jurisdictions. Registration is refused where the request originates in Russia, Belarus, Iran, North Korea, Syria or Cuba, and we may refuse or close an account where a sanctions restriction applies. This is a block at sign-up, not only a screen at payment; see our AML / KYC Policy for how transaction-level screening works.
1.3 Buying for a Business
Most orders on Ratify are placed for a company or a founder's business. When you use the Service for an organization, that organization is the customer under these Terms, is responsible for the account and everything ordered through it, and you confirm you are authorized to accept these Terms on its behalf. Rights that the law gives only to consumers, such as the statutory right to withdraw from an online purchase, apply to an individual buying for personal use and not to an organization buying for its business. Everything our policies promise, including refunds of unused credits and refunds for builds we cannot take on, applies to every customer alike.
1.4 Additional Terms
These Terms incorporate by reference our Privacy Policy, Cookie Policy, Payment Policy, Refund Policy, Cancellation Policy, AML / KYC Policy, and any other agreements or policies referenced herein or published on our website.
2. Service Description
2.1 Core Services
Ratify builds web applications on demand. Every build moves through the same steps:
- Request: You describe what you want built and may send existing code, as a zip file, a link to a public GitHub repository or code pasted into the form
- Estimate: An automated estimator reads your request and code and lists the work, with engineer-hours for each item, the expected days and the price. Estimates are free and not binding on you
- Acceptance: When you accept an estimate, its price is taken from your credit balance and the build starts
- Build: Our engineers build the work described in the accepted estimate
- Delivery: We post a link to the running application and a link to its source code on your project, where the project shows it as delivered
- Support: Technical assistance for delivered projects, including the bug-fix window described in Section 6
The estimator is automated and may be wrong. If, having looked at a paid build, we cannot deliver it as estimated, we will either agree a revised scope with you or refund every credit you paid for it, and tell you why.
2.2 Service Levels
The days stated in an accepted estimate are our estimate of the time to delivery, not a guarantee. Your project page shows where the build is.
2.3 Service Availability
We do not guarantee uninterrupted service and publish no specific uptime target. Scheduled maintenance will be announced in advance when possible.
3. User Accounts and Responsibilities
3.1 Account Creation
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3.2 User Obligations
You agree to:
- Provide a clear and complete project brief, since the estimate and the build both depend on it
- Respond promptly to requests for clarification from the team building your project
- Report issues or bugs within 30 days of delivery
- Use the Service only for lawful purposes
- Not attempt to reverse-engineer our estimator or underlying systems
3.3 Prohibited Uses
You may not use our Service to:
- Create malware, viruses, or malicious code
- Violate any laws or regulations
- Infringe on intellectual property rights
- Engage in unauthorized access or hacking activities
- Create code for illegal gambling, adult content, or hate speech platforms
- Develop surveillance or tracking software without proper consent
- Build weapons systems or military applications
- Circumvent security measures or digital rights management
4. Intellectual Property Rights
4.1 Ownership of Delivered Code
Upon full payment for services rendered, all intellectual property rights in the code specifically built for your project transfer to you exclusively. This includes source code, documentation, and any custom configurations or implementations.
4.2 Ratify Intellectual Property
Ratify retains all rights to our platform, estimator, methodologies, templates, and any pre-existing code or materials. Nothing in these Terms grants you any rights to Ratify's intellectual property beyond the specific code built for your project.
4.3 License to Use Service
We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms. This license terminates upon any breach of these Terms.
4.4 Feedback and Improvements
Any feedback, suggestions, or improvements you provide regarding our Service becomes the property of Ratify and may be used without compensation or attribution.
5. Payment Terms and Credits System
5.1 Credit Purchases
Our Service operates on a credit-based system. Credits must be purchased in advance and are non-transferable between accounts. Credits are sold in one-time bundles — currently a Starter, Growth and Professional bundle — or as any other amount within the limits shown on the Credits page.
Bundle sizes and prices are listed in full on our Pricing page, which is the authoritative source for what you will be charged. The price shown at checkout is the price that applies to your purchase. Prices are set in euro (EUR). You pay in the currency you choose, euro or US dollars; in dollars the price is the euro price at that day's rate, shown before you pay.
5.2 Credit Usage
Credits are consumed only when you accept an estimate. The price of a build is the engineer-hours in its estimate multiplied by 400 credits, and it is shown to you before you accept.
5.3 Payment Methods
We accept Visa and Mastercard credit and debit cards. Card payments are routed through payment infrastructure built to PCI DSS standards, and are never stored unencrypted on our servers.
Card payments open at launch. Until then no card can be charged and no credits can be bought; the Payment Policy says the same.
5.4 Currency
You can see prices, and pay, in either of two currencies:
- EUR (€) — Euro
- USD ($) — US Dollar
Exchange rates are refreshed through the day, so a price in dollars can move slightly; the amount shown before you pay is the amount charged. Selecting a currency changes both what the price is displayed in and what you are charged in. If your card is in a third currency, any conversion is made by your bank or card issuer at their rate; Ratify is not responsible for that conversion or its fees.
5.5 Refund Policy
Unused credits are refundable within 14 days of purchase. Once credits have been spent on an order, they are non-refundable except where our Refund Policy says otherwise. Refunds for quality issues are handled case by case under Section 6. The Refund Policy is the authoritative statement of which cases are refundable, and the figure there governs if the two ever disagree.
6. Quality Guarantee and Warranties
6.1 Quality Standards
We aim for code delivered to you to:
- Meet the specifications provided in your project brief
- Follow industry best practices and coding standards
- Be free from known critical bugs or security vulnerabilities at delivery
- Include appropriate error handling and validation
- Be properly documented and maintainable
6.2 30-Day Bug Fix Guarantee
If you discover bugs in delivered code within 30 days, we will fix them at no additional charge. This covers defects in the work we delivered, not new features, changes in requirements, or issues arising from modifications you make after delivery.
6.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. A DELIVERED BUILD REFLECTS OUR ENGINEERS' PROFESSIONAL JUDGMENT AT THE TIME OF DELIVERY, NOT A GUARANTEE AGAINST EVERY POSSIBLE DEFECT.
7. Confidentiality and Data Protection
7.1 Confidential Information
Both parties agree to maintain confidentiality of any proprietary information shared during the service relationship. This includes project briefs, your code, business strategies, and technical specifications.
7.2 Engineers' Confidentiality
Every engineer accepts the confidentiality terms of our Expert Terms before working on a client project, and signs a separate non-disclosure agreement where a client asks for one. They are prohibited from retaining, sharing, or reusing any client code or information outside the build itself.
7.3 Data Security
We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.
7.4 Cookies and Product Analytics
The Service uses essential cookies to keep you signed in and to remember your cookie choice. With your consent, it also uses analytics cookies from our product-analytics provider to understand how the Service is used and improve it. Analytics is optional: it runs only after you press Accept in the cookie banner, you can decline or withdraw consent at any time from "Manage cookies" in the footer, and declining does not limit your use of the Service. Details are in our Cookie Policy and Privacy Policy.
8. Limitation of Liability
8.1 Cap on Liability
IN NO EVENT SHALL RATIFY'S TOTAL LIABILITY EXCEED THE AMOUNT PAID FOR THE SPECIFIC PROJECT OR SERVICE GIVING RISE TO THE CLAIM, OR €5,000, WHICHEVER IS LESS.
8.2 Exclusion of Damages
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3 Essential Purpose
These limitations apply regardless of the legal theory on which the claim is based and even if a remedy fails its essential purpose.
9. Indemnification
9.1 User Indemnification
You agree to indemnify, defend, and hold harmless Ratify from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
9.2 IP Indemnification
Ratify will defend you against claims that code we delivered infringes third-party intellectual property rights, provided you notify us promptly and cooperate fully.
10. Termination
10.1 Termination by User
You may terminate your account at any time through account settings or by contacting support. Unused credits remain valid or can be refunded per our refund policy.
10.2 Termination by Ratify
We may suspend or terminate your account for violations of these Terms, fraudulent activity, or non-payment. We will attempt to provide notice except in cases requiring immediate action.
10.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination (including IP rights, limitations of liability, and dispute resolution) remain in effect.
11. Dispute Resolution
11.1 Informal Resolution
Before filing a formal dispute, parties agree to attempt resolution through good-faith negotiation for at least 30 days.
11.2 Arbitration (business users)
For business users (see 11.3a for consumers), any disputes not resolved informally shall be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA). The arbitrator's decision is final and binding.
11.3 Class Action Waiver (business users)
You waive any right to bring claims as a class representative or member. All disputes must be brought in your individual capacity.
11.3a Consumers
Sections 11.2 and 11.3 apply to business users. Nothing in this Section removes or limits any right you have as a consumer: if you are contracting outside your trade or profession, you keep your statutory right to bring proceedings in the courts of your own country of residence, and nothing here obliges you to arbitrate or waives any collective remedy available to you under the law that applies to you.
11.4 Injunctive Relief
Either party may seek injunctive relief in court for violations of intellectual property rights or confidentiality obligations.
12. General Provisions
12.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
12.2 Entire Agreement
These Terms constitute the entire agreement between you and Ratify regarding the Service and supersede all prior agreements and understandings.
12.3 Severability
If any provision is found unenforceable, the remaining provisions continue in full force. The unenforceable provision will be modified to achieve its intent to the maximum extent possible.
12.4 Assignment
You may not assign these Terms without our written consent. Ratify may assign these Terms without restriction.
12.5 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, or pandemic.
12.6 Notices
Legal notices must be sent to support@ratify.studio or our registered address. We may send notices to your account email address.
12.7 Language
The Service and these Terms are provided in English. Where we offer a translation for convenience, the English version controls in the event of any conflict or ambiguity.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be announced on the Service at least 30 days in advance. Continued use after changes take effect constitutes acceptance of the modified Terms.
